Service Agreement

Please read and sign before we begin work

1. Scope of Services

2Ai ("Service Provider") agrees to design, build, deploy, and maintain a WhatsApp AI Sales Automation system for the Client as described in the selected plan. Services include: bot development, WhatsApp Business API integration, AI training on client-provided data, proposal template creation, and ongoing technical support as per the selected tier.

2. Payment Terms

The Client agrees to pay the monthly subscription fee as per the selected plan, charged in advance on the 1st of each month. A one-time setup fee may apply for Enterprise plans. All fees are non-refundable once the build process has commenced. Payment is due within 7 days of invoice. Late payments may result in service suspension.

3. Setup & Delivery Timeline

The Service Provider commits to delivering a fully functional bot within 5–10 business days of receiving a completed questionnaire, signed agreement, and payment confirmation. Delays caused by incomplete client information or Meta API approval processes are not the responsibility of the Service Provider.

4. Client Responsibilities

The Client agrees to: (a) provide accurate and complete information in the onboarding questionnaire; (b) provide timely responses to questions during the build phase; (c) ensure their WhatsApp Business Account is registered and compliant with Meta's policies; (d) not use the bot for spam, misleading information, or any activity that violates WhatsApp's Terms of Service or applicable laws.

5. Intellectual Property

Upon full payment, the Client owns the conversation scripts and content created specifically for their business. The underlying AI technology, frameworks, and automation infrastructure remain the property of 2Ai. The Service Provider retains the right to use anonymized performance data for product improvement.

6. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. The Service Provider will not share the Client's customer data, sales scripts, or business strategies with third parties without written consent, except as required by law.

7. Cancellation Policy

Either party may cancel with 30 days' written notice. Upon cancellation, the Service Provider will provide the Client with an export of their bot scripts and conversation data. No refunds will be issued for the current billing month. Access to the bot will remain active until the end of the paid period.

8. Limitation of Liability

The Service Provider's total liability shall not exceed the fees paid in the prior 30 days. The Service Provider is not liable for: revenue loss due to bot downtime, Meta API outages, WhatsApp policy changes, or decisions made by the Client based on bot-generated conversations. Results vary by industry, market, and client follow-through.

9. Amendments

This agreement may be amended only in writing, signed by both parties. The Service Provider reserves the right to update pricing with 30 days' written notice to existing clients.
